Terms of Service

Draft for review. This document describes the platform as it currently works, but it has not yet been reviewed by a qualified lawyer and is not final. Legal review — including of the planned equity and revenue-sharing features — is required before public launch.
1. What trialtwo is
trialtwo is a platform where people (“founders”) present projects and other people (“supporters”) can follow, discuss, and support them. Founders describe what they want to make, set a funding goal and a campaign deadline, and choose how supporters can contribute.
Development mode. The platform currently operates in development mode: all financial activity is simulated. No real money is collected, held, or transferred anywhere on the platform, and no payment provider is connected. Simulated support creates no payment obligation and no entitlement to any reward, product, membership, ownership, or return. These terms will be revised — and re-reviewed — before any real-money functionality is enabled.
2. Your account
You need an account to create projects or support them. You must provide a real email address you control, keep your password secure, and not share or transfer your account. You are responsible for activity on your account. You must be legally able to enter into these terms where you live.
To be decided: A minimum age and any founder identity-verification requirements have not been set yet. (Tracked in docs/legal/open-decisions.md.)
3. Creating and running a project
As a founder, you are responsible for your project. You agree to:
- describe your project, its goal, budget, milestones and risks truthfully;
- only make claims about your project you can substantiate;
- post honest progress updates, including about delays and problems;
- honour the terms of any offer you publish, as published at the version a supporter accepted; and
- not use funds (when real funding exists in future) for purposes other than those described.
Publishing a project starts its campaign clock and locks its funding goal, currency, campaign length and web address. Published offer terms are versioned: changing an offer creates a new version and never alters what an existing supporter already agreed to.
4. Supporting a project
Supporting a project is a decision you make at your own risk, based on your own judgment. A project reaching its funding goal is not a guarantee that it will be delivered, and the platform does not vet, endorse, or guarantee any project. Read How Funding Works & Risks before supporting anything — it explains the difference between donations, rewards, products, memberships, equity and revenue-sharing, and the risks of each.
An expression of interest or application (for example, applying for an investment-style offer) is not an accepted commitment; a commitment records your agreement to an offer’s published terms; and a payment is a separate step that does not currently exist — while the platform is in development mode every commitment is simulated and nothing is owed by anyone.
5. Campaign deadlines and funding outcomes
Every published campaign has a deadline. When it passes, the campaign stops accepting support — this is enforced by our servers, not just by what buttons appear on the page — and the final amount of eligible support is recorded and shown, along with whether the goal was met. A campaign keeps whatever support it received by its deadline, whether or not it reached its goal; falling short of the goal is shown on the campaign page but does not undo recorded support.
Because all support is currently simulated, no money moves at any point: there is nothing to collect, release, or refund. How money will actually be collected, held, released and refunded will be defined when a payment provider is integrated, and will require legal review before launch.
6. Fees
The platform currently charges no fees of any kind.
To be decided: Whether and how the platform will charge fees (platform fee, payment processing pass-through, listing fees) has not been decided. (Tracked in docs/legal/open-decisions.md.)
7. Cancellations, refunds and disputes
Supporters can cancel their own pending commitments from their account. Founders can pause or cancel their campaigns. Because no real payments exist, there are currently no refunds — there is nothing to refund. If you believe a project is misleading or a commitment is wrong, use the in-product reporting tools or contact us (section 14).
To be decided: The refund and dispute policy for real payments (including cooling-off treatment and chargeback handling) must be defined together with the payment provider integration. (Tracked in docs/legal/open-decisions.md.)
8. Acceptable use
You must not use the platform to:
- mislead people — including fake projects, fabricated progress, or inflated claims;
- post content that is unlawful, infringing, hateful, or harassing;
- impersonate another person or organisation;
- attempt to bypass security, rate limits, moderation, or campaign deadlines;
- collect other users’ data outside the features the platform provides; or
- offer investments or financial products outside the platform’s built-in, clearly-labelled mechanisms.
9. Your content
You own what you post. By posting it, you give us the non-exclusive, worldwide, royalty-free licence we need to operate the platform: hosting, displaying, and distributing your content within the product (for example, showing your project in discovery and feeds). This licence ends when the content is deleted, except for copies retained in backups, audit records, or where we are required to keep them.
10. Moderation and enforcement
We may hide or remove content, restrict features, suspend accounts, or remove projects that violate these terms, with an appeal process for most restrictions. Moderation decisions are recorded in an audit trail. Resolved reports and suspensions can be appealed in-product from your account page.
11. The service is provided as-is
The platform is under active development and is provided “as is” and “as available”, without warranties of availability, accuracy, or fitness for a particular purpose, to the extent the law allows. Nothing in these terms excludes rights you have under laws that cannot be excluded — for Australian users this includes consumer guarantees under the Australian Consumer Law to the extent they apply.
12. Ending your account
You can deactivate your account from your account page (reversible; your profile is hidden). Permanent deletion is handled on request (section 14). Public contributions to other people’s campaigns — such as records of support on a published project — may be retained in de-identified form where needed for the integrity of those campaigns. We may suspend or terminate accounts that materially breach these terms.
13. Changes to these terms
We will update these terms as the platform changes — in particular, before any real-money functionality launches. Each version is dated and numbered; material changes will be notified in-product, and continued use after a change takes effect means you accept the updated terms. Changes never retroactively alter the published offer terms a commitment was made under.
14. Contact, governing law and entity
To be decided: The operating legal entity, business contact details, complaints contact, and governing law / jurisdiction have not been established yet. These must be completed before these terms can take effect for real users. (Tracked in docs/legal/open-decisions.md.)
